Terms of Service
The plain-language agreement for using mmlms. Please read it — using the service means you accept these terms.

1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you and mmlms ("mmlms", "we", "us" or "our") governing your access to and use of our learning management platform, websites, mobile applications and related services (the "Service"). By creating an account, accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation. Where mmlms and a Customer have signed a separate written agreement, that agreement governs and prevails over these Terms to the extent of any conflict.
2. Definitions
- "Customer" — the organisation (school, company or university) that subscribes to the Service.
- "Authorised User" — an individual the Customer permits to use the Service, such as an administrator, instructor, manager or learner.
- "Customer Data" — content and data submitted to or generated within a Customer's workspace.
- "Subscription" — the plan, term and usage limits the Customer selects.
3. Eligibility & accounts
You must be able to form a binding contract to use the Service and must meet any age or eligibility requirements that apply. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly at security@mmlms.com of any unauthorised use or suspected breach. The Customer is responsible for its Authorised Users' compliance with these Terms.
4. Licence to use the Service
Subject to these Terms and payment of applicable fees, mmlms grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the Subscription term for your internal learning and training purposes. You may not (a) copy, modify or create derivative works of the Service; (b) reverse engineer or attempt to derive source code, except as permitted by law; (c) resell, sublicense or provide the Service to third parties except as expressly allowed; or (d) remove proprietary notices.
5. Customer data & content
As between the parties, the Customer retains all rights in and ownership of Customer Data and the courses, assessments, materials and files it uploads. You grant mmlms a worldwide, non-exclusive licence to host, store, process, transmit, display and otherwise use Customer Data solely to provide, secure and improve the Service and as instructed by the Customer.
You represent and warrant that you own or have the necessary rights and permissions to your content, and that it does not infringe any third-party rights or violate any law. You are responsible for the accuracy, quality and legality of Customer Data and for obtaining any consents required to process it. We process personal data within Customer Data as a processor in accordance with our Privacy Policy.
6. Acceptable use
You agree not to, and not to permit any Authorised User to:
- upload or distribute unlawful, infringing, defamatory, harmful or malicious content, or malware;
- use the Service to harass, abuse or harm others, or to send spam or unsolicited communications;
- attempt to gain unauthorised access to the Service, other accounts or our systems, or probe, scan or test their vulnerability;
- interfere with or disrupt the integrity or performance of the Service, or circumvent usage limits or security;
- use the Service in violation of any applicable law, export control or sanctions; or
- access the Service to build a competing product or to benchmark without our consent.
We may investigate suspected violations and remove content or suspend access where reasonably necessary.
7. Plans, fees & billing
Paid Subscriptions are billed according to the plan and pricing you select. Unless stated otherwise: fees are charged in advance for each billing period; fees are exclusive of taxes, which you are responsible for; and payments are non-refundable except where required by law. Subscriptions may renew automatically for successive periods unless cancelled before the renewal date. We may change pricing on reasonable notice, effective at your next renewal. Free trials, if offered, are provided as-is and may be modified or withdrawn. Overdue amounts may accrue and, after notice, may result in suspension or termination.
8. Intellectual property
The Service, including its software, design, text, graphics, logos and trademarks (but excluding Customer Data), is owned by mmlms or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted, no rights are transferred to you. If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Service without obligation to you.
9. Third-party services & integrations
The Service may interoperate with third-party products (for example, single sign-on, video, payment or accounting providers). Your use of those products is governed by their own terms and privacy policies, and mmlms is not responsible for them. Enabling an integration may involve sharing data with the third party at your direction.
10. Availability, changes & support
We strive to keep the Service available and reliable and to provide reasonable support. We may modify, enhance or discontinue features over time and will avoid materially reducing core functionality during a paid term without notice. The Service may occasionally be unavailable for maintenance, updates or factors beyond our reasonable control.
11. Suspension & termination
You may stop using the Service and cancel your Subscription at any time, effective at the end of the current billing period. We may suspend or terminate access (a) for material breach of these Terms not cured within a reasonable period, (b) for non-payment, (c) where required by law, or (d) to protect the Service or its users from harm. Upon termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period after termination, after which it may be deleted in accordance with our retention practices. Provisions that by their nature should survive termination will survive.
12. Disclaimers
Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure, or that it will meet your requirements.
13. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility. To the fullest extent permitted by law, mmlms's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the fees you paid to mmlms for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless mmlms and its affiliates, officers and employees from and against any claims, damages, liabilities and reasonable expenses (including legal fees) arising from (a) your Customer Data or content, (b) your use of the Service in breach of these Terms or applicable law, or (c) your violation of any third-party right.
15. Governing law & disputes
These Terms are governed by the laws of the Republic of the Union of Myanmar, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute amicably and in good faith. Any dispute that cannot be resolved will be subject to the exclusive jurisdiction of the competent courts located in Yangon, Myanmar, unless otherwise required by mandatory law or agreed in a separate written agreement.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective date" above and provide reasonable notice where appropriate. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
17. General
These Terms, together with any order form, plan selection and the Privacy Policy, constitute the entire agreement between you and mmlms regarding the Service and supersede prior agreements on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be given through the Service or by email.
